Scout Gaming exits market after selling core subsidiary to ImpactWin

Scout Gaming Group has completed the sale of its main subsidiary, Scout Holding Ltd, to ImpactWin Group AB. The deal was finalised through a share-based transaction valued at SEK25 million (€2.28 million). Following this move, the company will now begin winding down its operations entirely.

The transaction marks a major shift for Scout, which previously specialised in B2B daily fantasy sports and sportsbook services. The agreement saw Scout Gaming Group receive 10,591,102 shares in ImpactWin, representing about 15% of the enlarged share capital. Instead of retaining these shares, the company plans to distribute them directly to its own shareholders.

With no remaining active business, Scout has applied to delist its shares from Nasdaq First North Growth Market. Trading in Scout's shares will officially end on March 31, 2026. After completing the distribution of ImpactWin shares, the company intends to proceed with voluntary liquidation.

No details were available regarding the historical performance of ImpactWin compared to other firms in the same sector. The transaction itself did not include any public financial comparisons between the two companies. The sale of Scout Holding Ltd leaves Scout Gaming Group with no operational business. Shareholders will receive ImpactWin shares as part of the final distribution. Once this process concludes, the company will move forward with liquidation and full delisting from the stock exchange.
